Terms of Use

Thank you for using Giizo AI.

These Terms of Use apply to your use of the software applications, websites and other services provided by Giizo AI for individuals (collectively, the "Services"). These Terms form an agreement between you and Giizo AI and include important provisions regarding our Services and the resolution of disputes through arbitration. By using our Services, you accept these Terms.

Our business terms govern the use of Giizo AI Enterprise, our APIs and other services for businesses and developers.

Our Privacy Policy explains how we collect and use personal information. Although it is not part of these Terms, it is an important document that you should read.

Who We Are

Giizo AI is an artificial intelligence technology research and application company. Our mission is to make advanced AI and robotics technologies beneficial for people and businesses. To learn more about Giizo AI, please visit our contact page.

Registration and Access

  • Minimum age: You must be at least 13 years old or the minimum age required in your country to use the Services. If you are under 18, you must have permission from your parent or legal guardian.
  • Registration: When creating an account to use our Services, you must provide accurate and complete information. You must not share your account credentials or make your account available to another person. You are responsible for all activity that occurs under your account. If you create an account or use the Services on behalf of another person or organization, you must have authority to accept these Terms on their behalf.

Using Our Services

  • What you may do: Subject to compliance with these Terms, you may access and use our Services. When using the Services, you must comply with all applicable laws and with any policies, guidelines or documents we provide.
  • What you may not do: You may not use our Services for illegal, harmful or abusive activity. For example, you may not:
    • Use the Services in a way that infringes, misuses or violates anyone's rights
    • Modify, copy, rent, sell or distribute any part of the Services
    • Attempt to reverse engineer or discover the source code or underlying components of the Services, models, algorithms or systems, except where prohibited by applicable law
    • Extract data or Output automatically or programmatically
    • Represent that Output was generated by a human
    • Disrupt or interfere with the Services, exceed rate limits or bypass safeguards and security measures
    • Use Output to develop models that compete with Giizo AI
  • Software: Our Services may allow you to download software, such as mobile applications, that may update automatically. The software may include open source software governed by its own licenses.
  • Corporate domains: If you create an account using an email address owned by an organization, such as your employer, that account may be added to the organization's business account with us. After transfer, the organization's administrator may control your account, access Content and restrict or remove your access.
  • Third-party services: The Services may include third-party software, products or services. Third-party services and third-party output are subject to their own terms, and we are not responsible for them.
  • Feedback: We appreciate feedback and you agree that we may use it without restriction or compensation to you.

Content

  • Your Content: You may provide input to the Services ("Input") and receive output from the Services based on that Input ("Output"). Input and Output together are "Content". You are responsible for Content, including ensuring that it does not violate applicable law or these Terms. You represent that you have all rights, licenses and permissions required to provide Input to the Services.
  • Ownership: As between you and Giizo AI, and to the extent permitted by applicable law, you retain your ownership rights in Input and you own Output. We assign to you any right, title and interest we may have in Output.
  • Similarity of Content: Because of the nature of the Services and AI in general, Output may not be unique and other users may receive similar output. Our assignment does not extend to other users' output or third-party output.
  • Our use of Content: We may use Content to provide, maintain, develop and improve the Services, comply with applicable law, enforce our terms and policies and keep the Services safe.
  • Accuracy: AI and machine learning are rapidly developing fields. Due to the probabilistic nature of machine learning, using the Services may result in Output that does not accurately reflect real people, places or facts.
  • Language models: Giizo AI may use third-party language models in the Services. You can contact us for information about the language models used in the Services.

When you use the Services, you understand and agree that:

  • Output may not always be accurate. You should not rely on Output as a source of truth or as a substitute for professional advice.
  • You must evaluate the accuracy and suitability of Output for your use case and include human review before using or sharing Output where appropriate.
  • You must not use Output relating to a person for decisions that may have legal or material effects, such as credit, education, employment, housing, insurance, legal, medical or similar important decisions.
  • The Services may provide incomplete, incorrect or offensive Output that does not represent Giizo AI's views.
  • Output generated by AI language models may contain inaccurate or inconsistent information. Giizo AI is not responsible for material or moral damages that may arise from using such Output.

Our Intellectual Property Rights

We and our affiliates own all rights, title and interest in and to the Services. You may use our name and logo only in accordance with our brand guidelines.

Paid Accounts

  • Billing: If you purchase any Service, you must provide complete and accurate billing information, including a valid payment method. For paid subscriptions, we will automatically charge your payment method for each renewal until you cancel. You are responsible for all applicable taxes. If payment cannot be completed, we may downgrade your account or suspend access until payment is received.
  • Service credits: Some Services may allow prepayment by purchasing service credits. Service credits are subject to the applicable service credit terms.
  • Cancellation: You may cancel a paid subscription at any time. Payments are non-refundable except where required by law. These Terms do not override mandatory local laws regarding cancellation rights.
  • Changes: We may change prices from time to time. If subscription prices increase, we will provide at least 30 days' notice and the increase will apply to your next renewal unless you cancel.

Termination and Suspension

  • Termination: You may stop using the Services at any time. We reserve the right to suspend access or delete your account if we determine that you violated these Terms or our policies, if required by law, or if your use creates risk or harm to Giizo AI, our users or others.
  • Discontinuation of Services: We may decide to discontinue Services. If we do, we will provide advance notice and refund prepaid, unused Services where applicable.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS". EXCEPT WHERE PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, QUIET ENJOYMENT AND WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE OR ERROR-FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU ACCEPT THAT USE OF OUTPUT FROM THE SERVICES IS AT YOUR OWN RISK AND THAT YOU WILL NOT USE OUTPUT AS A SOURCE OF TRUTH OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OUR AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, USE OR DATA. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS (USD 100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In that case, these Terms limit our liability to the fullest extent permitted in your country of residence.

Indemnity

If you are a business or organization, to the extent permitted by law, you will defend and indemnify us, our affiliates and personnel from third-party claims arising out of or related to your use of the Services or Content or your breach of these Terms.

Dispute Resolution

YOU AND GIIZO AI AGREE TO COMPLY WITH THE FOLLOWING MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS:

  • Mandatory arbitration: You and Giizo AI agree to resolve any claim arising out of or relating to these Terms or the Services through final and binding arbitration, regardless of when the claim arose.
  • Informal dispute resolution: Before formal legal action, we agree to try to resolve disputes informally. If a dispute cannot be resolved within 60 days, either party may initiate arbitration.
  • Exceptions: This section does not require informal dispute resolution or arbitration for individual actions in small claims court or for requests for injunctive or equitable relief to stop unauthorized use, abuse or intellectual property infringement.
  • Class and jury waivers: Disputes may be brought only on an individual basis and not as a plaintiff or class member in any class, consolidated or representative action. You and Giizo AI knowingly and irrevocably waive any right to a jury trial.
  • Severability: If any part of these arbitration terms is found unlawful or unenforceable, the remaining provisions will remain in effect, except where such finding would allow class arbitration or representative actions.

Copyright Complaints

If you believe your intellectual property rights have been infringed, please send a notice to the address on our contact page. We may remove or disable content that we believe violates these Terms or is alleged to be infringing, and may terminate repeat infringers where appropriate.

Written copyright infringement notices should include:

  • A physical or electronic signature of the person authorized to act on behalf of the copyright owner
  • A description of the copyrighted work you claim has been infringed
  • A description of where the allegedly infringing material is located on our site
  • Your address, phone number and email address
  • A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, agent or law
  • A statement that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

General Terms

  • Assignment: You may not assign or transfer rights or obligations under these Terms. We may assign our rights or obligations to an affiliate, subsidiary or successor related to the Services.
  • Changes to these Terms or Services: We may update these Terms or the Services from time to time due to legal or regulatory changes, safety or security reasons, circumstances beyond our control, improvements to the Services or adaptation to new technologies.
  • No waiver: Failure to enforce a provision does not waive our right to enforce it later. If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.
  • Trade controls: You must comply with all applicable trade laws, sanctions and export control laws. The Services may not be used, exported or re-exported for prohibited countries, regions, persons, entities or end uses.
  • Entire agreement: These Terms contain the entire agreement between you and Giizo AI regarding the Services and replace prior or contemporaneous agreements, except for service-specific terms.
  • Governing law: The laws of Turkiye govern these Terms, excluding conflict of law principles. Except as provided in the dispute resolution section, claims arising from or related to these Terms will be brought in the courts of Mersin, Turkiye.
